This Affiliate Agreement (the “Agreement”) is made and entered into by and between petneed.tech (“Company”), and you, the affiliate (“Affiliate”). This Agreement sets forth the terms and conditions for your participation in the Pet Need Tech AliExpress Affiliate Program (the “Program”).

1. Enrollment in the Program

To begin the enrollment process, you must submit a completed Program application. We will evaluate your application in good faith and will notify you of its acceptance or rejection. We may reject your application if we determine, at our sole discretion, that your site is unsuitable for the Program.

2. Affiliate Obligations

2.1. Compliance with Laws: You agree to comply with all applicable laws, regulations, and guidelines, including those set forth by the Federal Trade Commission (FTC), and any other governmental authority having jurisdiction over your activities.

2.2. Promotional Materials: You will use the promotional materials provided by Pet Need Tech in accordance with the terms of this Agreement. You may not alter, modify, or change these materials in any way.

2.3. Prohibited Activities: You agree not to engage in any of the following activities:

• Using unsolicited commercial email (spam) to promote Pet Need Tech.
• Using misleading or deceptive marketing practices.
• Engaging in any form of click fraud or any other unethical methods to generate commissions.

3. Company Obligations

3.1. Provide Promotional Materials: We will provide you with the necessary links, banners, and other promotional materials to use in your affiliate marketing efforts.

3.2. Track Sales: We will track sales made through your affiliate links and provide you with reports summarizing this activity.

3.3. Payout Commissions: We will pay you commissions on sales generated through your affiliate links in accordance with the terms of this Agreement.

4. Commission and Payment

4.1. Commission Structure: You will earn a commission based on the sales generated through your affiliate links on AliExpress. The current commission rate is [Commission Rate]%.

4.2. Payment Schedule: Commissions will be paid on a [monthly/quarterly] basis, provided you have earned a minimum commission threshold of [Threshold Amount]. If you have not earned the minimum threshold, your commission will roll over to the next payment period.

5. Term and Termination

5.2. Termination: Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon termination, you must immediately cease all use of our promotional materials and remove all links to our site.

5.3. Effect of Termination: Upon termination of this Agreement, any accrued but unpaid commissions will be paid to you in accordance with the payment schedule.

6. Limitation of Liability

We will not be liable for any indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.

7. Disclaimers

We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site or AliExpress will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

8. Indemnification

You agree to indemnify, defend, and hold harmless Pet Need Tech and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your participation in the Program, your use of the promotional materials, or your breach of this Agreement.

9. Miscellaneous

9.1. Governing Law: This Agreement will be governed by the laws of [Your Jurisdiction], without regard to its conflict of laws principles.

9.2. Entire Agreement: This Agreement constitutes the entire agreement between you and Pet Need Tech with respect to the Program and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Pet Need Tech with respect to the Program.

9.3. Amendments: We may amend this Agreement at any time by posting the amended terms on our website. Your continued participation in the Program following the posting of the amended terms will constitute your acceptance of the changes.

9.4. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

9.5. Waiver: Our failure to enforce any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

9.6. Assignment: You may not assign this Agreement, by operation of law or otherwise, without our prior written consent.

By joining the Pet Need Tech AliExpress Affiliate Program, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions. If you do not agree to any of these terms, do not join the Program.
